Kinglify Ambassador Agreement

1. The Programme

This Agreement is between Kinglify ("Kinglify", "we") and you, the person registering as a Kinglify Ambassador ("you"). By accepting, you join the Kinglify Ambassador Economy and receive a unique referral link to promote Kinglify subscriptions.

This Agreement (Version 2.1) supersedes and replaces all prior versions, including the Kinglify Affiliate Agreement Version 1.0 and its commission model. Commissions accrued under a previous version remain payable on their original terms.

An ambassador account is a standalone account. Organisation (tenant) accounts cannot themselves be ambassadors; a separate ambassador registration is required.

2. Commission

You earn a recurring commission of twenty percent (20%) of each subscription payment (excluding VAT and any other taxes) actually received by Kinglify from a customer who signed up through your referral link — covering recurring plan subscriptions and recurring subscription add-ons.

Commission applies to SUBSCRIPTION REVENUE ONLY. It never accrues on one-time top-up packs, metered usage or overage, marketplace sales, course or library sales, certificate fees, domain purchases, donations/giving, membership fees collected by organisations, or any other charge.

There is NO signup bonus. Commission accrues only when real subscription money is received — never on signup and never during a free trial.

3. Ranks and Recurring Windows

Your ambassador rank is determined by your number of active paying referred customers: Starter (0–30), Silver (31–70), Gold (71–100), Platinum (101–150), Diamond (151+). Rank advances and reduces automatically as that number changes.

The commission rate is 20% at every rank. Rank determines only the RECURRING WINDOW — how many months you earn on each referral: Starter 6 months, Silver 9 months, Gold 12 months, Platinum 24 months, Diamond 36 months.

WINDOW LOCK: each referral’s window is fixed by your rank at that customer’s FIRST successful payment. Advancing rank applies longer windows to new referrals only; a rank reduction never shortens a window already granted.

Recurring commission stops early if the referred customer cancels, churns, or downgrades to a free plan (and resumes only for payments they actually make within the window).

A referred customer who signs up free remains attributed to you for 12 months from signup; if they upgrade to a paid subscription within that period, your commission window starts from their first paid payment.

4. Milestone Bonuses

One-time milestone bonuses are paid when you first reach each rank threshold of active paying referrals: 31 (Silver) — $50; 71 (Gold) — $150; 101 (Platinum) — $400; 151 (Diamond) — $1,000. Each milestone is paid once only.

Milestone bonuses are the only one-time rewards in the programme.

5. Payment, Hold, Taxes

Payouts run monthly to your verified payout details, covering commissions that have cleared a thirty (30) day hold, subject to a minimum payout of USD $10 (or equivalent); smaller balances roll into the next month.

If the underlying subscription payment is refunded or charged back, the matching commission is reversed; if it was already paid to you, the amount is deducted from your future earnings.

A ten percent (10%) withholding tax is deducted from ambassador payouts and itemised on every payout statement. You are responsible for any further taxes on your earnings.

Commissions accrue in the currency of the underlying subscription payment and are converted to US dollars for the payout minimum and statements at Kinglify’s platform exchange rates; payout currency follows the payout details you provide.

6. Attribution

Attribution is first-touch: a referred customer is attributed to the first valid referral link or code they used, once, and that attribution becomes fixed at their first payment.

Self-referral is not permitted: your own accounts and organisations cannot be attributed to your code, and no commission accrues on them.

Referral tracking uses a 90-day cookie plus signup capture; a referral code can also be entered manually during onboarding.

7. Conduct

You must not use misleading claims, spam, unauthorised paid-search bidding on Kinglify brand terms, self-referral schemes, incentivised or fraudulent signups, or any activity that artificially inflates referrals or payments.

You must not present yourself as Kinglify or as an employee or exclusive agent of Kinglify. Referred customers’ relationships and payments are with Kinglify directly.

Breach of this section may result in suspension or termination and forfeiture of unpaid commissions arising from the breaching activity.

8. Programme Changes, Suspension, Termination

Kinglify may update commercial parameters of the programme (rates, windows, thresholds, bonuses, holds, minimums) prospectively; changes never reduce commissions already accrued or shorten windows already granted.

Kinglify may suspend an ambassador account while investigating suspected breach; accrual is paused during suspension.

Either party may end this Agreement at any time. On termination, commissions properly earned to date are paid on the normal schedule (after holds and deductions); no new commissions accrue after termination.

9. General

This Agreement is governed by the laws of the Federal Republic of Nigeria. Your acceptance is recorded with a timestamp and IP address as evidence of consent.
